1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and relayd.fm ("we", "us", "our"), a company registered in England and Wales.

By accessing or using relayd.fm, you agree to be bound by these Terms. If you do not agree, you must not use the service.

2. Description of Service

relayd.fm is a digital promo distribution platform that enables record labels and music professionals ("Labels") to send promotional music releases to DJs and artists ("Recipients"). The service includes:

• Uploading and managing audio tracks
• Creating and sending promo campaigns to DJ contact lists
• Real-time analytics on promo engagement (opens, plays, downloads, feedback)
• A recipient portal for DJs to listen, download, and provide feedback on promos
• Subscription management and credit-based billing

3. Account Registration

To use the service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use relayd.fm to:

• Upload, distribute, or promote content that you do not have the rights to share
• Infringe on the intellectual property rights of any third party
• Send unsolicited or spam communications to recipients
• Upload malicious files, viruses, or harmful content
• Attempt to gain unauthorised access to the platform or other user accounts
• Use the service for any unlawful purpose
• Scrape, harvest, or collect data from the platform without authorisation
• Interfere with or disrupt the service or its infrastructure

5. Content and Intellectual Property

You retain full ownership of all content you upload to relayd.fm, including audio tracks, artwork, and profile information.

By uploading content, you grant us a limited, non-exclusive licence to store, process, and distribute your content solely for the purpose of providing the service. This includes sending your promo campaigns to your designated recipients and displaying content within the platform.

You represent and warrant that you have all necessary rights and permissions to upload and distribute the content you share through the platform.

The relayd.fm name, logo, and platform design are the intellectual property of relayd.fm. You may not use our branding without prior written permission.

6. Credits and Payments

Credit System

Promo campaigns are sent using credits. Credits can be obtained through monthly subscription plans or pay-as-you-go purchases. One credit is consumed per campaign sent.

Subscriptions

Monthly subscriptions renew automatically. Subscription credits reset at the start of each billing period and do not roll over. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

Pay-As-You-Go Credits

Pay-as-you-go credits do not expire and remain on your account until used.

Payments

All payments are processed securely through Stripe. Prices are displayed in GBP (British Pounds). By making a purchase, you agree to Stripe's terms of service.

Refunds

Due to the digital nature of the service, refunds are handled on a case-by-case basis. If you experience a technical issue that prevents you from using a credit, please contact us at support@relayd.fm and we will work to resolve it.

7. Service Availability

We make reasonable efforts to ensure the platform is available and operational at all times. However, we do not guarantee uninterrupted or error-free service. The service may be temporarily unavailable due to:

• Scheduled maintenance
• Unplanned technical issues
• Circumstances beyond our reasonable control

We will make reasonable efforts to notify users of planned maintenance in advance.

8. Limitation of Liability

To the maximum extent permitted by law:

• The service is provided "as is" without warranties of any kind, whether express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Our total liability for any claim related to the service shall not exceed the amount you have paid us in the 12 months preceding the claim
• We are not responsible for the actions, content, or data of third parties, including recipients of your promo campaigns

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Termination

You may close your account at any time by contacting us at support@relayd.fm.

We may suspend or terminate your account if you breach these Terms, engage in prohibited activity, or if we reasonably believe your use of the service poses a risk to the platform or other users.

Upon termination:

• Your access to the platform will cease immediately
• Your uploaded content will be retained for 30 days, after which it will be permanently deleted
• Outstanding subscription charges will not be refunded for the current billing period
• Unused pay-as-you-go credits are non-refundable

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the service after changes constitutes acceptance of the updated Terms.

For significant changes, we will make reasonable efforts to notify you by email or through the platform.
